STUDENT TERMS & CONDITIONS
AND PHOTO, VIDEO, AUDIO & MEDIA RELEASE

1. Purpose of the Academy
The Mindset S.H.I.F.T. Experience Academy (“Academy”) is a mentorship and personal-development program
presented by Shalonda Washington and/or the program’s designated organization or team (collectively, “Mindset
S.H.I.F.T.,” “we,” “us,” or “our”). The Academy is designed to provide students with mentorship, encouragement,
educational content, practical tools, personal-growth strategies, and opportunities for connection and
development.
By enrolling in, attending, accessing, or participating in the Academy, you acknowledge that you have read and
agree to these Student Terms & Conditions and the Photo, Video, Audio & Media Release below.

2. Student Participation & Commitment
Students are expected to:

• Attend and participate in Academy sessions, activities, mentorship opportunities, and other program
  experiences to the best of their ability.
• Arrive prepared, engaged, and ready to learn and contribute.
• Complete assignments, exercises, or activities when requested as part of the Academy experience.
• Communicate respectfully with Shalonda Washington, Academy staff, mentors, guest speakers, and fellow
  students.
• Take responsibility for their own participation, decisions, effort, and personal growth.

3. Respectful Community & Conduct
The Academy is intended to be a safe, encouraging, growth-focused environment. Students agree to:

• Treat other students, mentors, staff, speakers, and guests with dignity, kindness, and respect.
• Avoid bullying, harassment, intimidation, threats, discrimination, disruptive behavior, or inappropriate conduct.
• Respect differing experiences, perspectives, backgrounds, and personal boundaries.
• Protect the privacy of other students and refrain from sharing another student’s personal story, contact
  information, or private statements outside the Academy without permission.
• Follow reasonable instructions and safety guidelines provided by Academy staff.

If a student’s conduct materially disrupts the Academy or creates a safety, harassment, or privacy concern,
Mindset S.H.I.F.T. may take appropriate action, which may include a warning, removal from an activity,
suspension, or termination of participation, consistent with applicable law and program policies.

4. Academy Materials & Intellectual Property
Curriculum, lesson materials, worksheets, presentations, videos, recordings, activities, exercises, templates,
frameworks, written content, branding, and other materials provided by the Academy or Shalonda Washington
(“Academy Materials”) are intended for the student’s personal educational use.

• Students may use Academy Materials for their own learning and development.
• Students may not copy, reproduce, publish, distribute, sell, sublicense, upload, or commercially exploit
  Academy Materials without written permission.
• Students may not present Academy Materials, substantially similar program frameworks, or Academy content
  as their own original program or intellectual property.
• Students may not share another student’s work or personal information without that student’s permission.

Nothing in these Terms transfers ownership of Academy Materials to a student. Any rights not expressly granted
remain with the respective owner.

5. Confidentiality & Privacy
Mentorship may involve personal experiences, goals, challenges, ideas, or other information shared by students
or participants. Students agree to use discretion and respect the confidentiality of information shared by others
within Academy spaces.
Students should not record, screenshot, photograph, copy, or distribute private conversations, coaching
discussions, or another student’s personal information without appropriate permission. This section does not
prohibit disclosures required by law or disclosures made for legitimate safety concerns.

6. Participation, Results & Educational Disclaimer
The Academy provides mentorship, education, encouragement, and personal-development support. It is not a
substitute for medical, mental-health, legal, financial, or other licensed professional advice. Students are
responsible for evaluating information and making their own decisions.
Mindset S.H.I.F.T. does not promise or guarantee a particular personal, academic, professional, business,
financial, or other outcome. Each student’s experience and results may differ based on individual circumstances,
participation, implementation, and factors outside the Academy’s control.

7. Program Schedule & Program Changes
The Academy schedule, speakers, activities, delivery format, and program details may occasionally need to
change because of scheduling, availability, technology, safety, or circumstances outside the program’s control.
When reasonably possible, students and/or parents or guardians will be notified of material changes.
Access to the Academy is provided according to the enrollment terms and program information communicated at
registration. Any payment, cancellation, transfer, refund, or attendance policy applicable to a student is governed
by the policy presented at enrollment or in the applicable registration materials.

8. Refund & Course Date Transfer Policy
All Academy fees are non-refundable. Refunds will not be issued for cancellations, changes in plans, missed
sessions, or inability to attend the originally scheduled course date. However, at the discretion of Mindset
S.H.I.F.T., fees paid may be transferred to a later scheduled Mindset S.H.I.F.T. Experience Academy course date.
Any transfer is subject to course availability and must be requested in advance of the originally scheduled course
date. A transfer of fees does not create a right to a cash refund.

9. Technology & Online Participation
When Academy activities are delivered online, students are responsible for having a suitable device, internet
connection, and access to the communication or learning platform identified by the Academy. Students must
protect their login information and may not knowingly allow unauthorized individuals to access student-only
Academy resources.

10. Safety & Emergency Situations
Students are expected to follow Academy safety instructions and promptly communicate safety concerns to
Academy staff. Where a parent or guardian is involved, the parent or guardian remains responsible for providing
current emergency contact information and any information reasonably necessary for the student’s safe
participation.

11. PHOTO, VIDEO, AUDIO & MEDIA RELEASE
The Mindset S.H.I.F.T. Experience Academy may photograph, videotape, audio record, or otherwise capture
students during Academy sessions, events, activities, celebrations, interviews, testimonials, and related program
experiences.
By signing this document, I voluntarily grant Mindset S.H.I.F.T. and Shalonda Washington, together with their
authorized representatives, staff, contractors, agents, affiliates, successors, and assigns, permission to capture
and use my image, likeness, voice, first name, statements, participation, photographs, video, audio recordings,
testimonials, and other media created in connection with my Academy participation.

12. How Media May Be Used
I understand and agree that approved media featuring me may be:

• Photographed, filmed, recorded, edited, cropped, captioned, combined with other materials, or otherwise
  adapted.
• Used in marketing, advertising, public relations, promotional, educational, and informational materials.
• Displayed on websites, social media, email communications, presentations, event recaps, promotional videos,
  printed materials, and other current or future communication channels.
• Used individually or together with graphics, text, music, photographs, video, or other content.
• Used in connection with Academy promotion, Shalonda Washington’s professional or community-related
  work, and related Mindset S.H.I.F.T. communications.

13. Digital & Social Media Understanding
I understand that media may be posted online and may be viewed, shared, reposted, downloaded, or otherwise
interacted with by third parties. Once content is published online, Mindset S.H.I.F.T. cannot control how third
parties may use or share it.

14. No Sale of Personal Information or Images
I understand and acknowledge that Mindset S.H.I.F.T. and Shalonda Washington will not sell my photographs,
recordings, personal information, or identifying information to third parties. This release permits the use of media
for legitimate marketing, advertising, public relations, promotional, educational, and related business purposes; it
does not authorize the sale of my personal information or likeness as a standalone product.

15. No Compensation & No Approval Required
I understand that I will not receive payment, royalties, or other compensation for the permitted use of my image,
likeness, voice, name, statements, photographs, video, audio, or other media captured through my participation.
I understand that I will not have the right to inspect or approve the final materials before publication or use, and
that Mindset S.H.I.F.T. is not obligated to use any media captured.

16. Release & Authorization
To the extent permitted by applicable law, I release Mindset S.H.I.F.T., Shalonda Washington, and their authorized
representatives, staff, agents, contractors, affiliates, successors, and assigns from claims arising from the
authorized use of my image, likeness, voice, name, photographs, video, audio, testimonials, or statements as
described in this release, including claims relating to privacy, publicity, or right of likeness.
This authorization is voluntary and becomes effective upon signature. It applies to qualifying media captured
during the Mindset S.H.I.F.T. Experience Academy and related activities. Unless otherwise required by applicable
law, the media permission granted in this section is ongoing.

17. Agreement & Acknowledgment
By signing below, I confirm that I have read and understand these Student Terms & Conditions and the Photo,
Video, Audio & Media Release. I understand that this document is intended to establish the expectations for
participation in the Mindset S.H.I.F.T. Experience Academy and to provide permission for the media uses
described above.
